Grumpy Hare, LLC (together with its officers, directors, employees, contractors, agents, subsidiaries, and affiliates, “Grumpy Hare”) reserves the right to modify and update the Terms of Service by posting revisions and modifications to the Grumpy Hare website. We recommend checking the Terms of Service periodically for any updates or changes that may affect you. Your continued use of the website after any amendment signifies your acceptance of the amendment. Any new features that improve or extend the current service, including the introduction of new tools and resources, are also subject to these terms.

Violation of any of these terms may lead to the termination of your account.

By utilizing the GrumpyHare.com services (“Service”), you agree to adhere to the following terms and conditions:

1.

You must provide your legal full name, a valid email address, and any other requested information to complete the signup process.

2.

Your login credentials are intended for individual use only — sharing a single login among multiple individuals is prohibited.

3.

Maintaining the security of your account and password is your responsibility. We are not liable for any loss or damage resulting from your failure to fulfill this security obligation.

4.

You will be solely accountable for all content posted and activity occurring under your account.

5.

We comply with the Payment Card Industry Security Standard (“PCI Standard”) in connection with the collection and processing of your data and billing information. However, you are solely responsible for the security of the data and billing information you collect on your Subscriber Website. GRUMPY HARE will not monitor Subscriber Websites for compliance, and therefore we are not able to verify whether your Subscriber Website complies with the PCI Standard.

6.

Usage of Grumpy Hare Content on Non-Grumpy Hare Websites is Prohibited: Our content should only be utilized on Grumpy Hare’s sites and not on any other platform. Distributing our copyrighted content, including stock website content or any content authored by Grumpy Hare, on any external website is prohibited. We will take action against any website hosting our copyrighted material, including requesting the web host to remove the infringing content.

7.

While Grumpy Hare employs a website backup system, it is your responsibility to save any files and data periodically. Under no circumstance will Grumpy Hare be liable to anyone for damages of any kind under any legal theory for your loss of files and/or data on any Grumpy Hare server.

8.

Our branding and logo must not be removed from your account.

9.

We do not verify the accuracy of content posted on the website. Any agreements made with others through the website are solely between you and the third party. Conduct appropriate investigation before engaging with unfamiliar parties. We are not accountable for any claims, losses, or damages arising from your use of the website.

10.

You warrant that you will not use the website to:

  • Engage in or promote illegal activity;
  • Engage in or promote behavior that is defamatory, harassing, abusive, or otherwise objectionable;
  • Infringes the intellectual property rights or other proprietary rights of any third party;
  • Violates the privacy rights or publicity rights of any third party;
  • Interferes with the operation of the Services; or
  • Violates the terms and conditions of this Agreement or any of the policies or agreements incorporated by reference herein.
  • Send unsolicited advertisements (SPAM);
  • Reproduce, duplicate, copy, sell, resell, or exploit any portion of the Grumpy Hare’s website.

11.

Your content may be transmitted unencrypted over various networks.

12.

Your site may be featured in any Grumpy Hare marketing without compensation or other consideration.

13.

We may collect information you provide to us and may share your personal information as required by law or to enforce these terms.

14.

Your use of the Services, including any information or content obtained through the Services, is at your own risk. You further acknowledge and agree that Grumpy Hare exercises no control over and accepts no responsibility for the content of the information passing through Grumpy Hare’s host computers, network hubs, and points of presence on the Internet.

15.

We will not be liable for any direct, any third person, consequential, exemplary, incidental, special, or punitive damages, including lost data arising from your use of the services.  

16.

Our Legal Terms are deemed executed and performed in Connecticut, United States, and are governed by and construed in accordance with the laws of Connecticut, the United States, without regard to conflict of law principles.

17.

You agree to indemnify, defend, and hold us harmless from any claim or demand, damages, losses, or liabilities, including attorney fees and court costs, made by any third party related to your use of the website.

18.

Grumpy Hare reserves the right to adjust the pricing of plans and/or services at any time, including existing and/or new user accounts. As we enhance and innovate our product, expenses increase to provide a better tool for your business.

19.

If you suspect copyright infringement on the website, please follow our Notification of Copyright Infringement procedure. We may terminate your membership, in appropriate circumstances, if you are a repeat copyright infringer. The “Pre-stocked” content available as part of the Service from the website is our copyrighted property and may only be used on websites hosted on our platform by active account holders of our Service. The website’s look and feel are copyright ©2024 by Grumpy Hare, LLC. All rights reserved. You may not duplicate, copy, or reuse any portion of the HTML/CSS or visual design elements without our express written permission.

20.

We do not screen any content you post. However, we reserve the right, at our sole discretion, to remove any content from the website that infringes upon our terms of service.

21.

Creation of forms or other materials that capture and store sensitive information on the sites, including but not limited to social security numbers, is prohibited.

22.

Failure to enforce any right or provision of the terms does not waive that right or provision. These terms constitute the entire agreement between us and govern your use of the website, superseding any prior agreements between us (including, but not limited to, any prior versions of the Terms of Service).

23.

Your account may be terminated at any time for violating these terms. In the event of account termination, no refund will be issued. Termination will result in the deactivation or deletion of your account or access to it and the forfeiture of all content in your account. Grumpy Hare will not refund any fees paid in advance of such termination, and you shall be obligated to pay all fees and charges accrued prior to the effectiveness of such termination.

One significant advantage of Grumpy Hare is our commitment to providing the highest-performing website solution in the industry. We achieve this by continually testing changes and ideas on our clients’ websites. By joining Grumpy Hare, you consent to our team proactively running conversion split tests on your website to improve conversion rates over the long term, with or without notice. Grumpy Hare has the right to conduct tests on websites with or without, but you always have full access to the data and results of every test we conduct on your website(s) by simply requesting the results at any time.

Payment and Refund Terms

1.

A valid credit card is necessary to sign up for all accounts. You will be billed for the first month upon signup. All monthly fees are due in advance on a monthly basis.

2.

If your card is declined and not updated within 10 days or we have not received communication from you, we reserve the right to cancel your account and deactivate your sites.

3.

Our system will automatically attempt to process overdue invoices for active accounts for 30 days.

4.

If your account is overdue, we will attempt to communicate using methods such as email, SMS/text, and phone calls.

5.

If you cancel your subscription within 30 days of signing up, upon request, you will receive a refund for your first month. If you cancel your account after 30 days, no refund will be issued, and the account will remain active for the remaining subscription period.

6.

If you opt for an annual payment for your subscription, the renewal and cancellation policy remains the same. You have a full 30 days to evaluate your account and cancel within that period for a full refund, according to these terms. There are no prorated refunds on annual accounts if you cancel more than 30 days after the initial purchase.

7.

Under our 30-day guarantee, each customer is eligible for only one refund. If you sign up, cancel within 30 days, and receive a refund, then sign up again later, you are not eligible for a refund if you cancel within the first 30 days.

8.

Each customer is limited to one special or discount when signing up for a subscription.

9.

Three-Week Grace Period: Upon receiving an invoice for our services, clients are granted a three-week grace period to review the invoice and submit payment. During this time, clients are responsible for ensuring that their contact information is up-to-date, particularly for billing purposes.

10.

If your account was previously canceled and you return to Grumpy Hare, you will be reactivated under the current plans and rates.

11.

Content Loss Disclaimer: Grumpy Hare is not liable for any content loss that may occur due to the website being removed for non-payment after the allotted 3-week grace period. It is the client’s responsibility to ensure that they have backups of their website content to prevent data loss.

12.

Removal of Site for Non-Payment: If payment is not received within the three-week grace period, we reserve the right to remove the client’s website from our servers. This action is necessary to cover the company costs associated with maintaining their website.

13.

Sales Tax. All fees are exclusive of taxes, which we will charge as applicable. You agree to pay any taxes applicable to your use of the Subscription Service and performance of Consulting Services. You shall have no liability for any taxes based on our gross revenues or net income. If you are located in the European Union, all fees are exclusive of any VAT, and you represent that you are registered for VAT purposes in your member state. Upon our request, you will provide us with your VAT registration number. If you do not provide your VAT registration number before your transaction is processed, we will not issue refunds or credits for any VAT charged. If you are subject to GST, all fees are exclusive of GST.

Cancellation and Termination

1.

To cancel your account, please send an email to support@grumpyhare.com and wait for the email confirmation. All future billings will stop immediately after we confirm your request. While we may reach out to gather feedback or offer assistance, all future billings cease when you get the email confirmation about your Canceled Subscription.

2.

Cancellation takes effect the day after you confirm your cancellation via email with our support team. Subsequent monthly/annual charges will not be incurred after the cancellation date. No refunds are issued for monthly or annual payments already made. The annual plan is designed for customers committed to using Grumpy Hare in their business for at least 12 months, offering a discounted rate in exchange.

3.

Upon cancellation, all your content may be instantly and automatically deleted from the Service, with no possibility of recovery.

4.

CHARGEBACKS — We pride ourselves on excellent customer service and assisting our customers in achieving their goals. If our website is unsuitable for you, it is your responsibility to cancel in a timely manner by sending an email to support@grumpyhare.com. If you contact your credit card company claiming cancellation when you did not formally request cancellation, you agree to fully reimburse us for all costs incurred due to your actions, including chargeback and attorney fees.

User Account Terms

1.

You agree not to sell any Grumpy Hare products or services as stand-alone products or services to prevent confusion or dilution in the marketplace for Grumpy Hare products.

2.

Pricing: Pricing is per active user and depends on the account level and number of websites that your clients will receive, as agreed upon in writing. Refer to the signed agreement for pricing details of your account.

3.

Copyright: The copyright terms outlined in our main terms of service apply fully to the Managed User and the Managed User’s end user. Grumpy Hare fully owns all content and design elements on our websites by default, in whole or in part, and they may not be used outside of the Grumpy Hare website platform.

4.

Responsibility for Contact Information Updates: The client is responsible for promptly updating any changes to their contact information, including email addresses, phone numbers, and mailing addresses. This ensures that we can reach them in case of any billing inquiries or reminders.

5.

Support: All technical support for Grumpy Hare products is provided through our standard support channels, which are available to our direct customers.

6.

Cancellation: A 30-day notice is required to cancel your Account. Cancellation requests must be sent via email to support@grumpyhare.com only.
