Affiliate Agreement – GrumpyHare

GrumpyHare LLC Affiliate Agreement

This Affiliate Agreement sets the terms and conditions for participating in the GrumpyHare LLC Affiliate Program. “Affiliate” refers to you, and “GrumpyHare” refers to GrumpyHare LLC, located at 35 E Main St #401, Avon, CT 06001-3845.

Changes to the Agreement

GrumpyHare LLC reserves the right to update and change the Affiliate Agreement at any time by posting updates on this webpage. Please review the Agreement regularly for any changes that may affect your participation.

Payments and Commissions

Commission Rate: Affiliates earn a 15% commission on each GrumpyHare Lead Gen Website System sale identified through their unique tracking link, registered as the “last cookie.”
Payment Schedule: Commissions are paid approximately every 30 days by the 5th of the month via PayPal. GrumpyHare reserves the right to modify the payment schedule. A 60-day hold period applies before the first payment is released. If commissions are less than $49, payment will be held until the amount accumulates to the minimum.
Minimum Referrals: Affiliates must refer at least 5 paid customers per calendar year. A paid customer is defined as a unique customer who joins GrumpyHare and remains a paid customer for at least 60 days (or 2 full billing cycles). Failure to meet this requirement may result in account cancellation and forfeiture of commissions.
Payment Method: All affiliate payments are made via PayPal. International affiliates must provide a physical mailing address. If no address is provided, commissions will be forfeited.
Refunds and Cancellations: If a sale is canceled or refunded, the related commission will be deducted from the next monthly payment.
Tax Responsibility: Affiliates are responsible for local, state, or country taxes. A 1099 form will be issued each year, and no payments will be made until a valid 1099 form is received.

Affiliate Applications and Termination

Approval: All affiliate applications are subject to approval by GrumpyHare.
Termination: Both GrumpyHare and the Affiliate can terminate this agreement at any time. Upon termination, outstanding commissions for the current period will be paid in the next monthly payment, provided the terms of this agreement were not violated by the Affiliate.

Rules and Conditions

Tracking Link: Affiliates will be provided with a unique “Affiliate Link” to track visitors. To receive commissions, this link must be used.
Trademark Use: Affiliates may not register domain names containing GrumpyHare trademarks or display logos, images, or trademarks in a distasteful, defamatory, or misrepresentative manner.
Iframes: Affiliates are prohibited from using iframes to display the GrumpyHare website or affiliate links on their own site.
Misrepresentation: Affiliates must not misrepresent GrumpyHare products or services, including false pricing claims or services.
Self-Orders: Affiliates may not use their own Affiliate Link to order services. Doing so will result in the immediate reversal of any commissions.
Spam: Affiliates must not send unsolicited mail or spam to promote GrumpyHare. Violation of this rule will result in immediate termination and forfeiture of pending commissions.
Cash Kickbacks: Affiliates may not offer cash kickbacks or rebates to purchasers through their affiliate link. Violations will result in forfeiture of commissions and account suspension.

Deceptive or Misleading Marketing

False Impressions: Affiliates must not deceive visitors into clicking their link by creating false impressions of special coupons, discounts, or pricing.
Keyword Use: Affiliates may not use keywords like “coupon,” “coupons,” “cashback,” “discount,” or “rebates” as primary search engine phrases. Violations will result in account cancellation and forfeiture of commissions.

Trademark and Paid Search Policies

Paid Search: Affiliates engaging in paid search marketing must adhere to specific terms.
Trademark Use: GrumpyHare trademarks cannot be used in paid search campaigns.
Domain Use: Affiliates must use their own domain or URL in paid search ads.

Affiliate Income Disclaimer Requirement

Disclosure: Affiliates must disclose their affiliate relationship to potential prospects, stating they earn commissions by referring new customers to GrumpyHare.

Prohibited Sites

Eligibility: Sites promoting sexually explicit material, violence, discrimination, or illegal activities are not eligible for the Affiliate Program.

Partner Code of Conduct

Compliance: Affiliates must comply with all GrumpyHare policies and instructions.
Honesty: Affiliates must make honest statements about GrumpyHare products and services.
Legal Compliance: Affiliates must comply with all laws and regulations related to marketing and data privacy.
Prohibited Activities: Affiliates must not engage in defamatory, slanderous, or libelous activities regarding GrumpyHare or its affiliates.

Term of Agreement

Duration: This agreement remains in effect until canceled by either party.
Commissions: Commissions earned through the date of expiration or cancellation will be payable only if the qualifying sales are not canceled or refunded, and the Affiliate has complied with the terms of this Agreement.

Disclaimer

Effort: GrumpyHare will make every reasonable effort to track and pay commissions for all applicable sales. However, GrumpyHare is not responsible for technical problems or events outside its control that may disrupt or diminish this service.

Privacy

Customer Information: GrumpyHare cannot provide identifying customer names and contact information to affiliates but will provide an online report detailing sales data for records.

Independent Contractor

Relationship: GrumpyHare and the Affiliate are independent contractors. Under this agreement, affiliates are not employees, legal partners, or affiliates but independent contractors.

Limitation of Damages

Liability: GrumpyHare shall not be liable for any indirect, incidental, special, or consequential damages or loss of revenue or profits arising under this agreement.

Warranty Disclaimer

No Warranties: GrumpyHare makes no expressed or implied warranties regarding the Affiliate Program except as outlined in this agreement.

Governing Law

Jurisdiction: This agreement shall be governed by the laws of the State of Connecticut and the United States.
